Terms & Conditions
By accepting a Koal Limited quote, the Client agrees to the following terms and conditions
1.
Acceptance and Contract Formation
Acceptance of this quote forms a binding agreement between the client and Koal Training Ltd (“Koal”) for the services described herein. Any changes to the terms or scope of work must be agreed to in writing prior to acceptance of the quote.
2.
Payment Terms
For project-based work, payment is due 50% upon acceptance, and 50% upon project completion. For ad hoc or ongoing services, payment is due on the 20th of the month following the invoice date, unless otherwise agreed in writing.
3.
Cancellation and Postponement
For cancellations made after quote acceptance but before work commences, Koal reserves the right to retain a 25% cancellation fee to cover administrative and scheduling costs. For cancellations after work has commenced, the client will be invoiced for all work completed to date, including any committed costs. Rescheduling or delays initiated by the client may result in revised timelines and potential additional costs, to be discussed and agreed in writing.
4.
Changes to Scope or Deliverables
Any variations to the agreed scope, timelines, or deliverables must be confirmed in writing and may result in a revised quote or additional charges.
5.
Revisions & Feedback
All content includes up to two rounds of revisions unless otherwise agreed. Additional revisions may incur extra charges, which will be discussed and agreed in writing before proceeding.
6.
Delays Caused by Client
If the client delays feedback, approvals, or content provision beyond agreed timelines, Koal reserves the right to revise the project delivery date and may invoice for work completed to date.
7.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.
8.
Intellectual Property
All training content developed by Koal remains the intellectual property of Koal unless otherwise agreed in writing. The Client is granted a non-exclusive, non-transferable licence to use the materials solely for internal training purposes.
9.
Limitation of Liability
Koal will provide services with reasonable care and skill in accordance with New Zealand consumer and commercial law. Liability is limited to the total amount invoiced under this agreement.
10.
Governing Law
These terms are governed by the laws of New Zealand. Any disputes will be subject to the jurisdiction of the New Zealand courts.
